Legal / User Agreement & Terms of Use

These Terms of Service govern access to and use of the Full Send platform, software, APIs, and related services operated by Bracken Labs LLC, doing business as Full Send Prep Center Management System (PCMS). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Definitions

“Full Send,” “we,” “us,” or “our”: Refers to Bracken Labs LLC.
“Customer,” “you,” or “your”: Refers to the individual or entity using the Services.
“Services”: Means the Full Send software platform, including dashboards, integrations, APIs, automation tools, and related documentation.
“Third Party Platforms”: Includes Amazon, Walmart, Shopify, carriers, marketplaces, and any external systems integrated with the Services.

2. Scope of Services

Full Send provides software tools designed to assist customers with ecommerce operations, fulfillment workflows, inventory visibility, order management, and marketplace integrations.

Note: Full Send is a software provider only. We do not act as a marketplace, seller, broker, carrier, or fulfillment provider unless separately agreed in writing. We do not guarantee outcomes, performance metrics, sales results, or compliance decisions made by Third Party Platforms.

3. Eligibility and Account Responsibility

You represent that you have authority to bind the business using the Services.
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.
You agree to provide accurate, complete, and current information and to update it as necessary.

4. Third Party Platform Access and APIs

If you connect the Services to Third Party Platforms, you authorize Full Send to access, process, and transmit data as required to provide the Services. You acknowledge that Third Party Platforms operate under their own terms and policies. Full Send does not control and is not responsible for changes, outages, suspensions, or enforcement actions taken by those platforms. We do not guarantee continued API access or feature parity if Third Party Platforms modify their systems.

5. Data Use and Customer Data

Ownership: You retain ownership of your data.
License: You grant Full Send a limited license to access, process, store, and transmit data solely for the purpose of providing and improving the Services.
Privacy: Full Send will not sell Customer Data and will only disclose it as permitted by our Privacy Policy or required by law.
Responsibility: You are responsible for ensuring you have the legal right to provide any data processed through the Services.

6. Compliance with Marketplace Policies

You are solely responsible for compliance with Amazon, Walmart, and other Third Party Platform rules. Full Send does not provide legal advice or guarantee compliance determinations by any marketplace or regulator. If a platform revokes your access due to your actions, Full Send bears no responsibility.

7. Acceptable Use

You agree not to:

Use the Services for unlawful purposes.
Interfere with system security or integrity.
Attempt unauthorized access to data or systems.
Misuse marketplace data or violate platform policies.

We reserve the right to suspend or terminate access if we reasonably believe misuse or policy violations are occurring.

8. Fees and Payment

Fees and billing terms are defined on the website or in a separate agreement. Failure to pay may result in suspension of access. Fees are non-refundable unless expressly stated otherwise in writing.

9. Intellectual Property

The Services, including software, documentation, and branding, are owned by Full Send. You receive a limited, non-exclusive, non-transferable license to use the Services during the term of your account. No rights are granted except as expressly stated.

10. Confidentiality

Each party agrees to protect non-public, proprietary, or confidential information received from the other. This obligation survives termination.

11. Service Availability and Disclaimers

“As Is” Basis: The Services are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free operation.
Disclaimer of Warranties: To the maximum extent permitted by law, the Services are provided without warranties of any kind, including merchantability or fitness for a particular purpose.

12. Limitation of Liability

To the maximum extent permitted by law, Full Send shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the amount paid by you to Full Send in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Full Send from claims arising out of your use of the Services, your data, or your violation of laws or platform policies.

14. Termination

You may stop using the Services at any time. We may suspend or terminate access for non-payment, misuse, or legal concerns. Upon termination, your license to use the Services ends.

15. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles.

16. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance.
